Matchmaker Terms and Conditions

Please read these terms and conditions carefully because they will govern our relationship and your use of our Matchmaker service.

By clicking on ‘OK’ when filling out our Matchmaker challenge form and innovation submission form, you are telling us that you understand and agree to the application terms and conditions set forth here.

The Matchmaker Solutions

All the potential solutions we give you have been made after careful consideration and with the best intentions. Unfortunately, we cannot unconditionally endorse or recommend any of these potential solutions because change is inevitable. Where possible we will try to connect you to the solution providers we identify, but as we do not always have a relationship with every solution provider this might not be possible. Sometimes we won’t be able to offer you a solution or an answer to your challenge, but if we can’t we will tell you how we came to this conclusion and offer you possible next steps. We really hope this doesn’t happen.

Due Diligence

We always endeavour to provide the best potential solutions. Offering you potential solutions does not mean that we have performed a due diligence assessment of any of those potential solutions or of the suggested organisations. We highly recommend that you perform your own due diligence process before pursuing a solution or engaging in any contractual relationship with any suggested organisation.

Matchmaker Data

We may use any data you submit to us to improve the Matchmaker service. We will share all data and organisational details anonymously in the public domain, unless you agree differently. We will share data by publishing a resource pack, an ecosystem map giving details about the organisations and initiatives currently working on humanitarian and social impact challenges across a specific area; a challenge map locating different challenges highlighted by you and other users in an anonymous fashion; and testimonials and feedback about us. We won’t make any of your data available to other providers for the purpose of getting any further work for us. But we (and our partners) will use any data collected via surveys to improve our services anywhere in the world. In this section ‘we’ refers to Civic, Response Innovation Lab and its operatives.

Feedback

We value constructive criticism because we want continually to develop and improve our Matchmaker service. We have two brief surveys that you must complete. These will be conducted online, over the phone or face to face immediately after the process is complete (survey 1) and in a further 3-6 months (survey 2). Your responses help us understand what works well and what can be made better.

Confidentiality

Our goal is to help entire sectors.   To do this we will share your problem definition and the elements of your resource pack after the six week period of exclusivity expires. This information will be posted on our website anonymously, unless you agree otherwise. We will make sure to review any posting with you before it is published to give you the chance to remove any language you feel does too much to identify your organisation.

Intellectual Property

The data which you share with us remains your intellectual property. Any documentation we create using your data will become our intellectual property. You will be supplied with a resource pack. The information contained in it is our intellectual property. While you are using our Matchmaker services we will give you a six-week period of exclusivity during which the information provided to you is for your sole use. At the end of the six-week period of exclusivity we may publish any of this information with your details removed. You can, of course, give us permission to publish organisational details if you would like. You must credit us when you use any of the information we have given you, either in the resource pack or in any other manner.

Liability

We will always do our best to provide you with options which we think are credible, but the ultimate responsibility for making a match lies with you.  Except as required by law, you cannot hold us liable for any negligence, breach of contract, duty, trust, default or any other negative instance that might arise due to our Matchmaker service. This is because it is dependent on so many factors beyond our control – such as the individual circumstances of each case; the resource constraints of the operational environment; the existing needs and capacities of the client; and the level of complexity of the problem at hand. We provide you with options not answers. We think the options are credible but you have the ultimate responsibility for making a match. We do not vouch for their reliability, availability or ability to meet your needs. If the match isn’t successful it’s not our responsibility or fault.

Indemnities

You indemnify us of any expenses, damages and losses (whether direct or indirect), including any interest, penalties, and reasonable legal and other professional fees that may be awarded against or incurred by you as a result of our Matchmaker service or solutions.  In this section ‘us’ refers to Civic, Response Innovation Lab and its operatives.

Waiver/ Relaxation

If you do not comply with these terms and conditions and we don’t take action against you right away, it doesn’t mean we are giving up any rights we have to do that at a later stage. The only way we can give up any of our rights is by stating expressly, in writing, that we intend to waive or relax a specific term or condition.

Enforceability

If it turns out that a particular term or condition is not enforceable, this will not affect any of the other terms and conditions.

Changes to Terms and Conditions

Our Matchmaker service is dynamic, and can be affected by events that are often beyond our control.  Sometimes we may have to change these terms and conditions and we reserve the right to do so without your consent. We will let you know as soon as possible of any changes.

Governing Law

These terms and conditions are governed by English law.
